TRAVELER ASSIGNMENT AGREEMENT

CONDITIONS

By signing this agreement, you are agreeing to work as a traveling healthcare professional for Alliance Medical Staffing Inc., pursuant to the following terms.

I affirm by signing this Work Order that there is no conflict of interest between myself (Traveler), Alliance Medical Staffing (AMS), and/or the Facility (Client) I have been assigned to. Should I become aware of any potential conflict of interest, I will contact my Placement Consultant immediately to discuss any potential risks and liabilities.

You shall conduct yourself in a professional manner in compliance with all applicable rules and regulations of the Client.

You agree that for a period of twelve (12) months after completion of an assignment with the Agency Client, you will not accept employment for such Client in any capacity without the prior written consent of AMS.

You hereby agree that if you accept employment or contractor status from the Client without the Agency's written consent during such twelve (12) month period, you shall be jointly and severally liable with the Client to make payment of such compensation to the Agency equal to hours worked while under Agency agreement terms.

You may terminate this agreement upon thirty (30) days written notice to AMS.

You agree that the Client/AMS may terminate this agreement with fifteen (15) days written notice without buyout.

AMS reserves the right to recoup monies as a result of the Traveler rendering or failing to render professional services during the term of this agreement. These costs may include, but are not limited to, housing charges, phone charges, utilities, attorney's fees, and all other expenses incurred by AMS in placement of the Traveler.

DESCRIPTION

This Agreement is considered valid once it is signed by you and a reciprocal agreement with the Facility.

You will become an employee of Alliance Medical Staffing Inc. on the first day of your assignment and will remain an employee until the last day of the assignment unless the agreement is terminated for any reason.

Notwithstanding any previous language, nothing in this Agreement shall change your status as an at-will employee of AMS.

As such, you acknowledge and agree that AMS retains the discretion to terminate your employment at any time and for any reason, including, but not limited to, the termination of your assignment by the Facility.

AMS will make the necessary W2 withholdings in accordance with both IRS regulations and state law pertaining to your assignment.

COMPENSATION

You will be paid the Hourly Rate specified above for all regular hours worked. You will be paid overtime for any time above forty (40) hours in any one-week pay period (Sunday through Saturday).

Time served "On-Call" shall be compensated at the On-Call Rate specified above. Actual time worked while on-call shall be compensated at the Call-Back Rate specified above.

Per AMS policy, holiday pay shall be compensated at the Holiday Rate for time worked on any of the six major U.S. holidays:

• New Year's Day
• Memorial Day
• July 4th
• Labor Day
• Thanksgiving
• Christmas

Holiday pay for time not worked shall not be paid unless agreed to and compensated by the Facility.

Housing

Housing to be provided by Traveler.

Reimbursements shall be paid only if agreed to by AMS in advance and are payable only after a receipt is provided to AMS.

ACCEPTED BY

The end date of this contract serves as notice of termination.

To ensure eligibility for future work opportunities, you must contact your AMS Placement Consultant before the end of your current assignment.

Because you are a Traveler, the Department of Labor advises that we include these statements.

Your Placement Consultant will be in contact with you throughout your assignment to discuss future assignments.

You agree to keep the terms of this Agreement confidential.
